Agreement to Establish, Operate, Maintain and Train
Rural E-Commerce Centers

(hereinafter “HOST”).
regarding
The establishment, operation, maintenance and performance measurement of one or more e-commerce centers and the provision of training to HOST staff and training materials for HOST staff and end users. The purpose of these elements is to provide the means and method for people to conduct commerce via the Internet from one or more rural communities.

AMEP and HOST both agree that the
quality of life in rural
AMEP shall provide the computer hardware needed to operate the Center, which generally includes at least one computer, monitor, keyboard, network switch, flatbed scanner, digital camera and printer.
AMEP shall provide a comprehensive Internet portal website with a database that allows for simple uploading of seller’s information, and allows for users to navigate and find the goods and services easily.
AMEP shall establish methods for protecting the computers and data from being corrupted by viruses, adware, shareware and other harmful computer bugs.
AMEP shall perform some search engine optimization and other marketing efforts to build customer traffic to the portal website.
AMEP shall assist HOST with writing and editing community webpages for the portal website.
HOST shall provide the physical space to set up the computer in a clean maintained secure workspace that is easily accessible to the general public during normal work hours.
HOST shall provide photos and written content for the portal website, including community description, a list of relevant Internet links and other information that would be useful to the residents and Internet buyers.
HOST shall provide high speed broadband Internet access for the Center.
AMEP shall operate the Internet portal and related database so that sellers and users may upload information and navigate to find information easily.
AMEP shall conduct occasional marketing efforts to increase customer traffic on the Internet portal.
AMEP and HOST shall devise ways to increase sales of goods and services in a cost effective manner.
HOST shall encourage, recruit and assist local businesses to post their goods and services on the Internet portal in a professional manner, and maintain those postings.
HOST shall make efforts to ensure that sellers are using the Center in a responsible and ethical manner.
AMEP shall maintain the database and Internet portal so that “uptime” is over 99.9%. This may necessitate operating a mirror site or redundant servers.
AMEP shall update training manuals to reflect current capabilities of the portal website.
AMEP shall make ongoing improvements to various aspects of this entire E-commerce program as lessons are learned and as new information comes available.
AMEP may conduct maintenance services on the e-commerce center computer via remote administration tools or via on site visits to improve computer performance.
HOST shall work to minimize the downloading of music and file sharing programs and other computer uses that allow viruses, adware, shareware and other harmful software to foul the computer. This may include running maintenance software from time to time.
HOST shall work to keep data from their sellers current and advertise items that are still available or still in stock.
HOST shall keep the physical Center workspace in a clean, well lit manner.
AMEP shall provide some level of technical support to HOST and to users regarding operating and maintaining the Center computers.
AMEP shall provide start-up training to the HOST, and may provide initial training for the community users.
AMEP shall provide occasional on-site or web-based ongoing training for HOST and for community users.
AMEP shall provide written training materials to assist the HOST in performing HOST functions, and provide written “train the trainer” materials so that HOST is able to effectively train the community users.
HOST shall provide one-on-one training to community users on how to use the Center for their benefit, based on materials provided by AMEP and other sources.
HOST shall provide feedback on training materials to guide future training efforts.
AMEP shall establish and monitor key metrics on website use. This includes maintaining a “Sign In” log that quantifies the number of users and purpose of use.
HOST is considered to be an AMEP client. HOST is responsible for reporting on the use, sales, and overall direct impact of the Center on the users. This includes responding in detail to an annual survey by AMEP’s granting organization, National Institute of Standards & Training, Manufacturing Extension Partnership.
This agreement is valid until
Either party may terminate this Agreement without cause by providing a 30-day written notice. At the termination of the Agreement, HOST shall provide Performance Measures that would normally be required for any HOST.
